RigWatch is a tool and equipment location monitoring platform that provides near real-time location visibility of tagged assets via a web-based dashboard, geofence boundary alerts delivered by SMS, and associated hardware and software components.
RigWatch is a visibility tool. It is designed to help you monitor the general location of tagged assets. It is not a security system, an alarm system, a theft prevention system, or a guarantee of any outcome. Use of RigWatch does not replace reasonable physical security practices.
RigWatch does not guarantee uninterrupted service. The platform depends on third-party infrastructure including internet connectivity, satellite services, cloud hosting providers, and SMS delivery networks, none of which Mindscape IT Inc. controls. Planned and unplanned maintenance windows may occur.
SMS alerts are delivered on a best-effort basis. Alert delivery times are estimated and will vary. Alerts may be delayed or not delivered due to:
Alert delivery times stated on the RigWatch website are estimates only and do not constitute a service level agreement (SLA) or guarantee of any kind. Mindscape IT Inc. accepts no liability for missed, delayed, or failed alerts regardless of cause.
Location data provided by RigWatch sensors is approximate. GPS accuracy depends on satellite signal quality, obstructions, sensor placement, and environmental conditions. Location readings should not be relied upon for precise positioning or for any safety-critical purpose.
Hardware purchased or provided as part of a RigWatch setup is the sole responsibility of the client once delivered. Mindscape IT Inc. is not responsible for hardware damage, loss, theft, or failure after delivery. Battery life estimates are provided as typical ranges under standard operating conditions and will vary based on reporting intervals, temperature, and other environmental factors.
Hardware modification, tampering, or use outside its specified operating conditions voids any applicable warranty and releases Mindscape IT Inc. from related liability.
Founding member pricing is available for a limited promotional period. Clients who subscribe during this period receive the founding rate for the duration of their active, continuous subscription. If a subscription is cancelled and restarted, standard pricing applies to the new subscription. Mindscape IT Inc. reserves the right to end the founding member promotional period at any time without notice.
After the promotional period closes, new subscriptions are subject to standard pricing. Pricing is subject to change with 30 days written notice to existing subscribers.
The one-time setup fee is non-refundable. It covers configuration, onboarding, testing, and training services performed by Mindscape IT Inc. prior to and at the time of deployment.
Monthly subscription fees are invoiced in advance. Support hours beyond the included scope are invoiced weekly and due within 3 business days of invoice. Late payments accrue interest at 2% per month (24% per annum), compounded monthly.
All prices are in Canadian dollars and are subject to applicable GST and any other taxes required by law.
Either party may cancel the subscription at any time with 30 days written notice. Upon cancellation, access to the RigWatch dashboard and all associated services terminates at the end of the current billing period. Hardware remains with the client. No refunds are issued for partial subscription periods. The setup fee is non-refundable under any circumstances.
You agree to use RigWatch only for lawful purposes and only to track assets that you own or have legal authority to monitor. You must not use RigWatch to track individuals without their knowledge and consent. RigWatch is designed for equipment and tool tracking, not for personal surveillance.
You are responsible for ensuring your use of RigWatch complies with all applicable laws, including Alberta privacy legislation and any applicable employment standards or labour laws.
All software, firmware, platform architecture, algorithms, dashboard code, and technical systems comprising the RigWatch platform are the exclusive intellectual property of Mindscape IT Inc. and are protected by copyright and trade secret law. No rights in the platform technology are transferred to clients under any subscription or service agreement.
Clients receive a limited, non-exclusive, non-transferable licence to access and use the RigWatch dashboard solely for their internal business operations during the term of their active subscription.
To the maximum extent permitted by applicable law, Mindscape IT Inc.'s total aggregate liability for any claims arising out of or related to the RigWatch service shall not exceed the total subscription fees paid by the client in the three (3) months immediately preceding the event giving rise to the claim. Mindscape IT Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost assets, theft, equipment damage, or business interruption, regardless of the cause or the form of the claim.
The RigWatch service and all associated hardware and software are provided "as is" and "as available" without warranty of any kind, express or implied, including without limitation any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Mindscape IT Inc. does not warrant that the service will be error-free, uninterrupted, or free from security vulnerabilities.
You agree to indemnify and hold harmless Mindscape IT Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including legal fees) arising out of your use of the RigWatch service, your violation of these Terms, or your violation of any applicable law or third-party right.
Each party agrees to hold the other's confidential information in strict confidence and not to disclose it to third parties without prior written consent. Mindscape IT Inc.'s confidential information includes all technical architecture, source code, system configurations, supplier relationships, and pricing structures underlying the RigWatch platform.
These Terms are governed by the laws of the Province of Alberta and the applicable laws of Canada. Any disputes shall be resolved in the courts of Alberta.
Mindscape IT Inc. may update these Terms of Service from time to time. Continued use of the RigWatch service after notice of changes constitutes acceptance of the updated Terms. We will notify active subscribers of material changes by email with at least 14 days notice.
